1960 WHIP CLUB, INC.

 

BYLAWS

 

 

Preamble

 

We, the Members of this club, do hereby unite ourselves into a club which shall be known as the "1960 WHIP CLUB, INC.", (hereinafter referred to as "the CLUB"), located in Harris County and Chartered in the State of Texas, for the purpose of promoting a dance, commonly called the "Whip", "Push", or the "Swing".  This dance is not only unique and beautiful in its execution, but also promotes friendship among those who have an affinity for it and provides a clean wholesome activity for anyone who participates in dancing the "Whip".  

 

 

ARTICLE I

 

Objective

 

1.01.        It shall be the objective of the CLUB to preserve and promote the dance known as the "Whip", "Push", or the "Swing", hereinafter referred to as the "WHIP".

 

1.02.        It shall further be the objectives of the CLUB to encourage all people who have an affinity for the WHIP and who are of wholesome moral character to join and become members of this CLUB.

 

1.03.        It shall further be the objective of this Club to seek and secure, where possible, any economic benefits for the membership through the collective effort of such membership whereby the Club may hold any of its official functions.

 

 

ARTICLE II

 

Elected Officers

 

2.01.        The elected officers of the CLUB shall constitute the Executive Board and shall consist of the following: 

                        President

                        Vice-President

                        Secretary

                        Treasurer

                        Sergeant-At-Arms

                       

 

 

 

2.02.        Terms of Office for each position shall be for a term of ONE (1) YEAR from January 1 thru December 31.

 

2.03.        New offices may be created and filled at any meeting called by the President.  Each officer shall hold office until his successor shall have been duly elected and shall have qualified.

 

2.04.        Formal elections will be held every year at a regular meeting and voting will be done by secret ballot or a show of hands at the discretion of the Executive Board.

 

2.05.        At the time of nomination, nominees for an elected office must state and affirm that the CLUB is their primary club and must have their dues current.

 

2.06.        Elected board members are exempt from annual membership dues for the term of their office.

 

ARTICLE III

 

Officers' Duties

 

3.01.        President

 

A.                 The President shall preside at all meetings.

B.                 The President shall be responsible for the supervision of all activities of the CLUB.

C.                 The President shall have the authority to appoint any committee deemed appropriate.

D.                 The President shall be entitled to vote on matters held by secret ballot or open show of hands only to break a tie.

E.                  The President shall be responsible to oversee that all officers and committee persons perform their functions, duties and tasks.

F.                  During his/her term of office, the President shall be a member of the Regional, State and Whip, Inc., Boards

G.                 The President shall appoint TWO (2) additional members to attend and represent the CLUB at the Whip, Inc., State and Regional Board Meetings.

 

3.02          Vice-President

 

A.                 The Vice-President shall preside at all meetings in the absence of the President.

B.                 The Vice-President shall assist the President in any duties or functions of the CLUB.

C.                 The Vice-President has the authority to make final decisions concerning CLUB matters when the President is unavailable and immediate decisions are required.

D.                 If necessary, the Vice-President shall advise the Sergeant-At-Arms to assure that the duties assigned by the President are being carried out.

E.                  The Vice-President shall collect and keep a record of names and amounts collected from members and/or non-members for Weekly Workshops conducted by Guest Dance Instructors.

 

 

3.02.        Secretary

 

A.                 The Secretary is responsible for the keeping and maintaining of a fully typed copy of all Minutes, Policies, By-Laws and other records and correspondence pertaining to CLUB business.

B.                 The Secretary shall have at all times any items pertaining to CLUB operations (applications, by-laws, membership lists, etc).

C.                 The Secretary shall be responsible for maintaining an up-to-date record of all members mailing addresses, as well as membership phone numbers.

D.                 The Secretary shall keep an attendance roster of each business meeting.

 

3.03.        Treasurer

 

A.                 The Treasurer shall be in charge of and responsible for the handling of all finances, reports and correspondence related thereto.

B.                 The Treasurer shall follow the approved accounting and record keeping system for all financial matters of the CLUB.

C.                 The Treasurer shall submit an itemized report at each regular meeting of the CLUB reporting all monies received and expended.  Also, a copy of bank statements and deposit slips are to be available.

D.                 The Treasurer along with the President, and Vice-President shall be on the club’s bank signature card and will be able to write checks if necessary.

E.                  The Treasurer shall reconcile all bank statements.

F.                  No checks are to be written in excess of $75.00 without another board member’s approval.

 

3.04.        Sergeant-At-Arms

 

A.                 The Sergeant-At-Arms shall be responsible for helping the presiding officer keep all meetings orderly and assisting the officers by policing all CLUB functions.

B.                 The Sergeant-At-Arms has the responsibility of seeing that the trophies are available when needed.

C.                 The Sergeant-At-Arms is to work in conjunction with the Dance Coordinator in planning any dance contests and other events.

D.                 The Sergeant-At-Arms is responsible for maintaining an inventory list of all CLUB equipment, including music and to arrange transportation of such equipment to any CLUB function where needed.  A duplicate list is to be maintained by the Secretary.

 

 

 

 

 

 

 

 

3.05.        Dance Coordinator – Board Appointed Position

 

A.                 The Dance Coordinator shall conduct and participate in all Intermediate Dance Instructions.

B.                 The Dance Coordinator has the responsibility of recruiting dancers to participate in all contests, fun and major.

C.                 The Dance Coordinator is to work in conjunction with the Sergeant-At-Arms in planning any dance contests and other events.

D.                 The Dance Coordinator shall insure that Instructors are available for all classes

 

ARTICLE IV

 

Committees

 

4.01.        Special committees shall be appointed by the President.  Any members thereof may be removed by the President whenever such interests of the Club shall be served by such removal.

 

ARTICLE V

 

Dues

 

 

5.01.        Dues are to be paid on a six (6) month basis at THIRTY AND NO/100 DOLLARS ($30.00) or a one (1) year basis at FORTY FIVE AND NO/100 DOLLARS ($45.00). Renewals are due and payable before the end of the due date month expires. A letter will be given by hand, mailed or an email to remind the member that dues are due.

 

5.02.        It shall further be the responsibility of the Secretary to provide information to any member as to the amount due for their renewal.

 

5.03.        Any member who has not paid his/her dues within thirty (30) days of due date shall be dropped from the active member list. 

 

5.04.        Prospective new members shall be able to participate in one (1) weekly sessions free of charge as a means of evaluating the CLUB. On the second week, the participant will have to pay the dues in order to continue participation in the CLUB.

 

 

 

 

 

 

 

 

 

ARTICLE VI

 

Amendments to Bylaws

 

6.01.    These bylaws maybe altered, amended, or repealed and new bylaws may be adopted by a majority of the Members present at any regular meeting or at any special meeting, if at least two days' written notice is given of an intention to alter, amend or repeal these bylaws or to adopt new bylaws at such meeting.

 

 

6.02.    These Bylaws are presented as a guideline for governing the activities of the CLUB.  Roberts Rules of Order apply unless provided otherwise in these Bylaws.
